Terms of Service

These Terms of Service (the “Terms”) are an agreement between you and Avaud LLC, doing business as LocalBizBot (“LocalBizBot,” “we,” “us,” or “our”). They cover your use of our website, our chatbot service, and anything connected to them (the “Service”). By signing up, installing our code, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you are agreeing on behalf of a business, you confirm that you are allowed to do so and that the business is bound by these Terms.

What the Service does

LocalBizBot is an AI chatbot for your website. We read the pages of your website that you point us to, train a bot on that content, and give you one line of code to add to your site. Once it is live, the bot answers your visitors’ questions and can collect a visitor’s name and phone number so you can follow up. What is included depends on the plan you pick, as shown on our pricing page.

The bot is trained on your website content. It is a tool to help you answer customers. It is not a substitute for professional, legal, medical, or emergency advice, and you should not present it as one.

Your account

You need an account to use the Service. Keep your login details safe. You are responsible for everything that happens under your account. Tell us right away at support@localbizbot.com if you think someone else has access to it.

Free trial, billing, and cancellation

New plans start with a 7-day free trial. If you cancel before the trial ends, you are not charged.

After the trial, your plan renews on its own. Monthly plans bill every month. Annual plans bill every year. Payments are handled by our merchant of record, Lemon Squeezy, which appears on your statement as “Lemon Squeezy.” By subscribing you authorize recurring charges for the plan you chose, plus any add-ons like SMS, until you cancel.

You can cancel at any time. There are no contracts. When you cancel, your plan stays active until the end of the period you already paid for, and then your bot turns off. We do not give refunds for partial months or unused time unless the law requires it.

Price changes

We may change our prices. If we change the price of a plan you are on, we will tell you before it takes effect, and the new price will apply on your next renewal. If you do not agree, you can cancel before it renews.

Your content and your responsibilities

“Your content” means your website, the text on it, custom answers you write, and anything else you give us to train or run your bot. You keep ownership of your content. You give us permission to use it only to provide and improve the Service for you.

You are responsible for your content. That means:

• You have the right to use it and to let us train a bot on it.
• The information on your site is accurate. The bot repeats what is on your site, so wrong prices or hours on your site can lead to wrong answers.
• Your content is lawful and does not infringe anyone else’s rights.

Acceptable use

You agree to use the Service only for a lawful business that you own or are allowed to represent. You agree not to:

• Use the Service to break the law or to harm, mislead, or defraud anyone.
• Send spam or message people who have not agreed to hear from you.
• Upload viruses or try to break, overload, or reverse engineer the Service.
• Resell or copy the Service without our written permission.
• Use the Service for content that is hateful, adult-only, or otherwise prohibited by our providers.

If you break these rules, we can suspend or close your account.

Text messaging (SMS add-on)

If you add SMS, we give you a dedicated phone number and the bot answers texts. You are responsible for following all texting laws, including the TCPA and carrier rules. You must only text people who have agreed to be texted by your business. People can reply STOP to opt out and HELP for help. Message and data rates may apply to the people texting you. You agree not to use the SMS feature for prohibited content such as anything illegal, hateful, or related to prohibited categories set by the phone carriers.

AI answers can be wrong, and that is not on us

Please read this part carefully. The bot uses AI. AI can be wrong, incomplete, or out of date, even when it is trained only on your website. It can misread a question or answer in a way you did not intend. We do not promise that any answer is accurate, complete, or right for a given situation.

The answers your bot gives are your responsibility, not ours. You are the business talking to your customers, and the bot speaks for you. We give you the chat logs and the tools to review and fix answers, and we strongly recommend you use them. To the fullest extent allowed by law, we are not responsible or liable for any answer the bot gives, or for anything you, your customers, or anyone else does, relies on, or decides based on a bot answer.

The bot is not professional advice. For anything involving safety, legal, medical, financial, or emergency matters, your customers should confirm with a qualified person and should not rely on the bot.

Third-party services

The Service uses trusted outside providers, such as Lemon Squeezy for payments, cloud hosting, and AI model providers. Your use of the Service may also be subject to their terms. We are not responsible for outside services we do not control.

Our intellectual property

We own the Service, including our software, the widget code, our website, and our name and logo. We give you a limited, non-exclusive, non-transferable right to use the Service while your account is active and in good standing. You may not copy, sell, or modify our software or brand without our written permission.

Availability and support

We work hard to keep the Service running, but we do not promise it will always be available or error-free. We may need to pause the Service for maintenance or updates. We offer support by email at support@localbizbot.com, and priority support on the Pro plan.

Disclaimer

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied. To the fullest extent allowed by law, we disclaim any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or free of errors, or that the bot’s answers will be accurate or complete.

Limitation of liability

To the fullest extent allowed by law, Avaud LLC and its owners and staff are not liable for any indirect, incidental, special, or consequential damages, or for lost profits, lost business, or lost data, arising from your use of the Service. Our total liability for any claim relating to the Service will not be more than the amount you paid us in the 12 months before the claim.

Indemnification

You agree to defend and hold harmless Avaud LLC from claims, losses, and costs (including reasonable legal fees) that come from your content, your use of the Service, your text messaging, or your breach of these Terms.

Suspension and termination

You can stop using the Service and cancel anytime. We can suspend or end your access if you break these Terms, do not pay, or use the Service in a way that creates risk for us or others. When your account ends, your right to use the Service stops and your bot turns off.

Changes to these Terms

We may update these Terms from time to time. If we make a meaningful change, we will update the date at the top and, when appropriate, let you know by email or on the site. If you keep using the Service after a change, that means you accept the updated Terms.

Governing law

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. Any dispute will be handled in the state or federal courts located in Arizona, and you agree to that venue.
